Disclaimer & Limitation of Liability

ProximaRide is a ride-sharing platform only. We connect drivers who are already taking trips for personal reasons with passengers who wish to share the ride. We are not a transportation company, taxi service, or commercial operator. By using ProximaRide, you acknowledge and agree to the following:

1. Nature of Service & No Responsibility for Rides

ProximaRide provides a technology platform designed solely to facilitate peer-to-peer cost-sharing arrangements. We do not operate, control, or guarantee any rides. We are not a party to any agreement between users. Any relationship, agreement, or interaction formed is strictly between the Driver and the Passenger. We make no representations or warranties regarding the safety, legality, or quality of any rides, nor do we guarantee that a ride will occur.

2. User Classification & Commercial Prohibition

Users acknowledge that ProximaRide is strictly for personal, non-commercial use.

• No Agency: Drivers are independent users and are not employees, agents, or contractors of ProximaRide.
• Compliance: Users are solely responsible for ensuring their use of the platform complies with local laws. ProximaRide shall not be held liable for any user’s decision to use the platform in a manner that violates municipal, provincial, or federal regulations, including those governing commercial transportation or "for-hire" services.

3. Comprehensive Exclusion of Liability

To the maximum extent permitted by applicable law, you agree to fully release, defend, and hold harmless ProximaRide, its owners, employees, and affiliates from any and all claims, liabilities, damages, or losses. This total exclusion of liability includes, but is strictly not limited to:

• Safety & Conduct: Physical injuries, wounds, or death; criminal acts, misconduct, or harassment; and any fights, disputes, or interpersonal "troubles" between users.
• Incidents & Property: Vehicular accidents, collisions, traffic violations, or delays; and the theft, loss, or damage of any personal items or property.
• Financial & Insurance: Insurance coverage disputes, lack of valid licensing, or any issues regarding the payment and reimbursement of trip shares.

4. Health, Safety, and Assumption of Risk

You acknowledge that ride-sharing carries inherent risks. You voluntarily assume all such risks associated with the use of the platform and any subsequent rides. ProximaRide does not provide insurance, safety guarantees, or any form of liability coverage. It is the sole responsibility of drivers and passengers to ensure their own insurance and safety compliance.

5. No Warranties ("As Is")

ProximaRide provides its platform on an “as is” and “as available” basis. We do not guarantee that any user will behave as expected or that the platform will be error-free. We cannot be held responsible for the actions, behavior, or decisions of any drivers or passengers.

6. Indemnification

As a condition of using this platform, you agree to indemnify ProximaRide against any and all expenses (including legal fees) arising from your use of the service, your interactions with other users, or your violation of any laws.

7. Severability

If any part of this Disclaimer is found to be unenforceable, the remaining provisions shall remain in full force and effect to provide the maximum protection permitted to the platform.
